Terms of Service

These terms are the agreement between you and Gemistry Labs for using our AI-assisted engagement-ring design studio. Please read them before you start designing.

1. Acceptance of these terms

By creating an account, signing in, or otherwise using the Gemistry Labs studio (the “Service”), you agree to these Terms of Service and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you confirm that you are authorized to accept these terms for it.

2. Eligibility and age

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed at children, and we do not knowingly allow accounts for anyone under 18. We may decline, suspend, or terminate accounts to comply with legal requirements.

3. What Gemistry Labs is — and what it is not

Gemistry Labs is a concept and design-exploration studio. You describe an engagement ring in plain language, an AI assistant (“Kiln”) turns that into a parametric design, and the studio shows an AI-generated concept image and, on your confirmation, an AI-generated 3D concept model. You can export a jeweler-ready handoff bundle containing a concept 3D model, an approximate STL, a specification PDF, and a README for discussion with a jeweler.

Gemistry Labs is not a jeweler, manufacturer, gemologist, appraiser, or retailer. We do not sell rings, take custody of metals or gemstones, set prices, or manufacture anything. The concept images, 3D models, meshes, and specifications the Service produces are visual and dimensional starting points for a conversation with a qualified professional. They are not a production file, a promise of manufacturability, and not a guarantee of fit, durability, safety, materials, cost, or availability. The exported 3D model is the same concept model shown in the studio; the exported STL is derived from that concept mesh and approximately scaled for review, and the specification-sheet dimensions remain the dimensional reference. Any decision to manufacture, purchase, or wear a ring is yours and your jeweler’s alone.

4. Your account and sign-in

Sign-in is handled by our authentication provider, Stytch. You are responsible for the accuracy of the information you provide and for activity that occurs under your account. Keep your sign-in credentials secure and let us know promptly if you believe your account has been used without your permission. Your saved designs are scoped to your verified account, and we may rely on your provider identity to make the Service work.

5. Acceptable use

You are responsible for the prompts you write and the reference images you upload. You agree not to submit content, or use the Service, in a way that:

infringes anyone’s intellectual-property, privacy, publicity, or other rights; is unlawful, harmful, harassing, hateful, or deceptive; uploads images of people without the rights or consents needed; tries to reverse engineer, overload, probe, or circumvent the Service, its rate limits, or its billing; attempts to generate content that violates the acceptable-use policies of our AI providers; or resells or redistributes the Service itself. We may remove content or restrict use that we reasonably believe breaks these rules.

6. Your content and intellectual property

Your reference material. You keep whatever ownership you already have in the prompts, notes, and reference images you provide (“User Content”). You represent that you have the rights needed to submit it and to let us process it. You grant Gemistry Labs a worldwide, non-exclusive, royalty-free license to host, store, process, transmit to the AI and infrastructure providers named below, and display your User Content for the purpose of operating and improving the Service and generating the outputs you request. This license ends for active content when you delete the relevant design or your account, except for copies already sent to third-party providers or retained as described in our Privacy Policy.

Generated concepts. As between you and Gemistry Labs, and to the extent we hold any rights in the concept images, 3D models, and specification files the Service generates from your inputs, we assign those rights to you so you can use, share, and take the outputs to a jeweler. This assignment is subject to your compliance with these terms and to the rights of third parties in any material you supplied.

Important limits on generated outputs. The outputs are created by AI models. Depending on your jurisdiction, purely AI-generated material may not be protected by copyright and may be owned by no one, so we cannot promise you exclusive or enforceable rights in it. Similar or identical outputs may be generated for other users from similar prompts, so outputs are not guaranteed to be unique. We do not warrant that an output is free of third-party rights, and you are responsible for confirming you have the rights you need before using an output commercially or having a ring made.

Our materials and feedback. The Service itself, including its software, models, designs, and branding, belongs to Gemistry Labs and its licensors. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

7. Gems, payments, subscriptions, and refunds

Most of the Service is free to use: chatting with Kiln and exporting a handoff bundle do not cost anything. Two actions that rely on paid AI providers are metered in a prepaid credit called Gems: generating a concept image costs 1 Gem, and building a 3D concept model costs 10 Gems. New accounts receive a starting grant of 3 free Gems. There is no unlimited plan — every image or model generation debits Gems.

Fair-use protections. We only charge Gems when a new generation job actually starts. If the Service returns a previously generated result (a cache hit) or a job is already in flight, you are not charged again. If a provider fails to produce a result, the Gems for that attempt are automatically refunded to your balance.

Buying Gems. Gems are sold through Stripe-hosted checkout. The default is a recurring gem-pack subscription, billed monthly at the pack price or yearly at ten times the monthly price (“two months free”). One-time packs are also available: Starter (25 Gems for $4.99), Studio (100 Gems for $14.99), and Atelier (250 Gems for $34.99). Prices are in U.S. dollars unless stated otherwise and exclude any taxes that may apply. We may change prices and pack contents going forward; changes do not affect purchases you have already completed.

How subscriptions renew and credit. A monthly subscription credits its pack of Gems each billing period when the invoice is paid. A yearly subscription is paid once and delivers its Gems as twelve monthly installments over the year rather than all at once. Unused Gems roll over and do not expire while your account is open. Subscriptions renew automatically until you cancel.

Managing and canceling. You manage your subscription — including cancellation, plan changes, and payment methods — through the Stripe Billing Portal, reachable from your account’s billing settings. Cancellation takes effect at the end of the current paid period; you keep access and any already-credited Gems through that period. For a canceled yearly plan, the remaining already-paid monthly installments continue to be credited.

Refunds. Beyond the automatic Gem refunds for failed generations described above: a one-time gem pack is refundable within 14 days of purchase if none of its Gems have been spent; once any Gem from a pack is used, the pack is non-refundable. Subscription fees are not refundable for partial billing periods — canceling stops future renewals, and you keep access and already-credited Gems through the period you paid for. Gems are digital content delivered immediately: by purchasing, you consent to immediate delivery and acknowledge that, to the extent permitted by law, any statutory right of withdrawal or cooling-off period ends once Gems are credited to your balance. Nothing in this section limits refunds required by applicable law. If a charge is refunded through Stripe, the corresponding Gems may be reversed from your balance, which can leave the balance negative until it is replenished.

8. AI limitations — not jewelry, legal, or financial advice

The Service uses AI models that can be wrong, incomplete, or inconsistent. Concept images and 3D models are interpretations of your prompt and may not accurately reflect real materials, proportions, stone behavior, structural integrity, or what a jeweler can actually make. Nothing produced by the Service is professional advice. It is not jewelry, gemological, appraisal, safety, legal, tax, or financial advice, and it is not a valuation. Always confirm materials, pricing, fit, durability, safety, and manufacturability with a qualified jeweler or other professional before relying on any output or making a purchase.

9. Third-party services

The Service depends on third parties to function, and using it means your data may be processed by them as described in our Privacy Policy. These currently include Stytch (authentication), Stripe (payments), Google Gemini (AI text and image generation), fal.ai (3D generation), and Sentry (optional, consent-gated error reporting). Your use of these providers’ features is also subject to their terms, and we are not responsible for their services. We may add, remove, or change providers as the Service evolves.

10. Service availability and changes

We are actively developing the Service, and features, model behavior, supported settings and metals, pricing, and limits may change. The Service may be unavailable at times for maintenance, provider outages, or reasons outside our control, and Kiln relies on a live external AI provider with no offline fallback. We may modify, limit, suspend, or discontinue all or part of the Service, and we will try to give reasonable notice of material changes where practical.

11. Warranty disclaimer

The Service and all outputs are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and we do not warrant that the Service will be uninterrupted, error-free, secure, or that any output will be accurate, unique, ownable, safe, or suitable for production. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, Gemistry Labs and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or the cost of a ring or other goods obtained from a jeweler, arising out of or relating to the Service or these terms, even if we have been advised of the possibility. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars. Nothing in these terms limits liability that cannot be limited by law, including certain consumer rights.

13. Suspension, termination, and account deletion

You may stop using the Service at any time. You can delete your account from the Privacy & data section of your account settings. Deletion is immediate and permanent: it purges your design sessions and chat transcripts, your uploaded reference images, and your login records, and it deletes or anonymizes your sign-in identity and cancels any active subscription. Certain records — in particular billing and gem-ledger entries and audit events required for accounting and legal purposes — are retained in anonymized form, as detailed in our Privacy Policy. Deleting your account does not entitle you to a refund of Gems or subscription fees except as required by law or the refund policy above.

We may suspend or terminate your access if you breach these terms, create risk or legal exposure, abuse the Service or its billing, or if we are required to by law. Where practical we will provide notice. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — survive.

14. Changes to these terms

We may update these terms as the Service and our legal requirements change. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the revised terms.

15. Privacy

How we collect, use, and delete personal data — including account details, design prompts and uploaded references, generated artifacts, billing records, and optional error reporting — is described in our Privacy Policy. These terms are meant to be read together with it; if the two ever appear to conflict on a privacy matter, the Privacy Policy controls.

16. Governing law and disputes

These terms are entered into with Gemistry Labs, a sole proprietorship registered in Ontario, Canada. They are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Any dispute arising out of or relating to the Service or these terms that we cannot resolve informally will be brought in the courts located in Ontario, Canada, and both parties consent to their jurisdiction. Nothing here waives mandatory consumer protections available to you where you live, including any right you may have to bring a claim in your local courts.
